Abstract
Stečaj je vrlo nepovoljna situacija u kojoj se društvo s ograničenom odgovornošću, kao i druge pravne osobe, mogu naći. Može se čak i reći da bi to bila zadnja karika u životu društva. Prije toga sigurno bi bilo poželjnije prezaduženost i nesposobnost plaćanja obveza, možda riješiti restrukturiranjem poslovanja. Po definiciji Stečajnog zakona (članak 2.) stečajni postupak je postupak koji se „provodi radi skupnog namirenja vjerovnika stečajnog dužnika, unovačenjem njegove imovine i podjelom prikupljenih sredstava vjerovnicima“ Stečaj najčešće rezultira prestankom postojanja stečajnoga dužnika pravne osobe (osim ako vjerovnici stečajnoga dužnika ne prihvate stečajni plan na kojega stečajni dužnik pristaje).
Abstract (english)
Bankruptcy is a very unfavorable situation in which a limited liability company can find itself. It can even be said that it would be the last link in the life of society. Before that, over-indebtedness, and the inability to pay obligations would certainly be preferable, perhaps solved by restructuring the business. According to the definition of the Bankruptcy Act (Article 2) bankruptcy proceedings are: "a procedure carried out for the purpose of collective settlement of the creditors of the bankrupt debtor, by liquidating his property and distributing the collected funds to the creditors". Bankruptcy most often results in the cessation of existence of the bankrupt debtor as a legal entity (unless the creditors of the bankrupt debtor accept the bankruptcy plan to which the bankrupt debtor agrees).
